Terms of Service

These Terms of Service ("Terms") govern your use of the WholesaleBridge Analytics platform ("Service") provided by WholesaleBridge ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description

WholesaleBridge provides a cloud-based analytics platform for freight brokerages. The Service connects to your business systems via authorized API integrations and provides performance dashboards, commission calculations, carrier health monitoring, and business intelligence reporting.

2. Account Registration

• You must provide accurate and complete registration information
• You are responsible for maintaining the security of your account credentials
• You must promptly notify us of any unauthorized access to your account
• One organization account may have multiple authorized users with role-based access levels (Owner, Admin, Member)
• Account Owners are responsible for managing user access within their organization

3. Authorized Use

You may use the Service for your organization's internal business purposes. You agree not to:

• Share account credentials with unauthorized individuals
• Attempt to access other organizations' data
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to store or transmit malicious code
• Exceed reasonable usage limits or abuse API connections
• Resell or sublicense access to the Service without our written consent

4. Data Ownership and Processing

Your Data

You retain all ownership rights to the business data you provide to or generate through the Service ("Your Data"). We process Your Data solely to provide the Service and do not claim any ownership interest in it.

Our Processing

By using the Service, you grant us a limited license to process Your Data as necessary to provide the analytics, reporting, and monitoring features you have subscribed to. This includes aggregating, calculating, and displaying derived metrics (commissions, margins, health scores, etc.).

API Credentials

You authorize us to use the API credentials you provide to connect to your business systems (TMS, accounting, carrier databases) on your behalf. You represent that you have the authority to grant this access and that doing so does not violate your agreements with those third-party providers.

5. Subscription and Payment

• The Service is provided on a monthly subscription basis
• Pricing is determined by your subscription tier and features enabled
• Payment is due monthly in advance
• We reserve the right to adjust pricing with 30 days' written notice
• Failure to pay may result in suspension of access after a 15-day grace period

6. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may temporarily suspend access for maintenance, updates, or emergency security patches. We will provide reasonable advance notice of planned maintenance when possible.

7. Commission Calculations

The Service provides commission calculations based on the compensation rules configured for your organization and the data provided through your connected systems. While we make every effort to ensure accuracy:

• Commission calculations are tools to assist your payroll process, not a replacement for your organization's payroll verification
• Accuracy depends on the completeness and correctness of the source data you provide
• You are responsible for validating commission outputs before processing payroll
• We are not liable for overpayments, underpayments, or payroll errors resulting from incorrect source data or misconfigured compensation rules

8. Carrier Health Data

Carrier health scores, safety ratings, and compliance information are derived from public data sources (FMCSA, DOT) and third-party APIs. This information is provided for reference and monitoring purposes only. You should not rely solely on our carrier health data for carrier selection or vetting decisions. We are not liable for carrier-related incidents, losses, or compliance violations.

9. Confidentiality

We treat all Your Data and account information as confidential. We will not disclose Your Data to third parties except:

• To our service providers as necessary to operate the platform (see Privacy Policy)
• As required by law, regulation, or legal process
• With your explicit written consent

10. Intellectual Property

The Service, including its design, code, features, and documentation, is the intellectual property of WholesaleBridge. Your subscription grants you a limited, non-exclusive, non-transferable right to use the Service during your subscription term. All rights not expressly granted are reserved.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED
• WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED
• OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
• WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from: (a) your use of the Service in violation of these Terms; (b) your provision of inaccurate data; (c) your violation of any third-party rights or agreements, including your agreements with TMS, accounting, or carrier data providers.

13. Termination

• Either party may terminate the subscription with 30 days' written notice
• We may terminate immediately for material breach of these Terms
• Upon termination, we will provide a data export and delete Your Data within 30 days (see Privacy Policy)
• Termination does not relieve you of any fees owed for the current billing period

14. Governing Law

These Terms are governed by the laws of the State of [STATE], without regard to conflict of law principles. Any disputes shall be resolved in the courts of [COUNTY], [STATE].

15. Changes to These Terms

We may update these Terms from time to time. We will notify account administrators of material changes via email at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
